Welcome to Charter Vision. These Terms of Use ("Terms") govern your access to and use of the Charter Vision platform, including our website, applications, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. About Charter Vision

Charter Vision is an AI-powered governance platform designed to support charter school boards and their operations. The Platform provides tools for regulatory guidance, board training, financial health monitoring, and governance best practices.

2. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3. User Roles and Access

The Platform supports the following user roles:

  • Admin — Full school management, user invites, document uploads, and reporting
  • Member — School-scoped access to the AI assistant and training modules
  • Stakeholder — Read-only access to summaries and reports
  • Individual — Access to charter school regulations and general guidance (no school affiliation required)

Your role determines your level of access and permissions within the Platform.

4. Permitted Use

You may use the Platform only for lawful purposes related to charter school governance, training, and operations. You agree not to:

  • Use the Platform for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform's infrastructure
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Share your account credentials with others
  • Use automated tools to scrape or collect data from the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform

5. Uploaded Content

When you upload documents to the Platform (including financial records, policies, meeting minutes, and other school-related documents):

  • You retain ownership of your uploaded content
  • You grant Charter Vision a limited license to process, analyze, and store your content solely for the purpose of providing Platform services
  • Your documents are isolated per organization and are never shared across organizations
  • You are responsible for ensuring you have the right to upload such content

6. AI-Generated Content

The Platform uses artificial intelligence to provide regulatory guidance, training content, and analytical insights. You acknowledge and agree that:

  • AI-generated content is provided for informational purposes only and does not constitute legal, financial, or professional advice
  • You should always consult qualified professionals for specific legal, financial, or regulatory decisions
  • AI-generated content may contain errors, inaccuracies, or outdated information
  • Charter Vision does not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You are solely responsible for decisions made based on information provided by the Platform

7. Intellectual Property

The Platform, including its design, features, code, documentation, and all content created by Charter Vision, is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written consent.

8. Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant Charter Vision a non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Platform without any obligation to you.

9. Third-Party Services

The Platform integrates with third-party services (including authentication providers, AI models, and cloud infrastructure). Your use of these services is subject to their respective terms and privacy policies.

10. Data Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARTER VISION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Charter Vision and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform immediately ceases.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
